Teacher Terms and Conditions

1. Acceptance of Terms

By applying to become a Teacher on Zenshin Japanese ("the Platform"), you accept and agree to be bound by these Teacher Terms and Conditions. These terms are in addition to, and not in replacement of, the general Terms of Service. If you do not agree to these terms, please do not apply to become a Teacher.

2. Teacher Eligibility and Verification

2.1 Compliance Requirements

To be eligible to teach on Zenshin Japanese and receive payments, you must:

  • Be registered with the Chamber of Commerce (or equivalent business registry) in your country of residence
  • Provide accurate registration information, including your registration number and country
  • Maintain valid registration throughout your tenure as a Teacher
  • Comply with all applicable tax and business regulations in your jurisdiction

2.2 Verification Process

All Teacher applications are subject to manual verification by Zenshin Japanese administrators. We reserve the right to:

  • Request additional documentation or information
  • Verify your Chamber of Commerce registration
  • Reject applications that do not meet our requirements
  • Request re-verification at any time

3. Payment Terms and Revenue Share

3.1 Revenue Share

Teachers receive a percentage of the revenue generated from their classrooms. The revenue share is up to 90% of the subscription fees paid by students enrolled in your classrooms (after taxes). This percentage is determined based on:

  • Your monthly revenue volume (Starter: under €100/month, Growing: €100–500/month, Established: €500+/month)
  • Platform-wide policy changes (with advance notice)

The revenue share percentage is calculated after applicable taxes. All payments to Teachers are made after tax obligations have been fulfilled.

3.2 Payment Schedule

Payments to Teachers are processed monthly, typically within 30 days after the end of each calendar month. Payments are made via the payment method you have configured in your Teacher account.

3.3 Payment Requirements

To receive payments, you must:

  • Have an approved Teacher account
  • Have at least one active classroom with paying students
  • Provide accurate payment and tax information
  • Comply with all applicable tax obligations in your jurisdiction

3.4 Tax Obligations

You are solely responsible for reporting and paying all applicable taxes on payments received from Zenshin Japanese. We may be required to collect tax information or withhold taxes depending on your location and applicable laws.

4. Teacher Responsibilities and Obligations

4.1 Content Quality and Services

Teachers are completely free to decide what services they provide through their classrooms. This includes, but is not limited to:

  • Using the platform as a support system only
  • Offering subscription-based individual 1-on-1 lessons
  • Creating group lessons and study sessions
  • Any other educational service that benefits students

However, if a student quits a classroom due to teacher negligence that can be proven, the Teacher will not receive payment from that student for the month in which they left.

As a Teacher, you agree to:

  • Provide accurate information and feedback to students
  • Respond to student questions and provide support in a timely manner
  • Maintain professional conduct in all interactions

4.2 Classroom Management

You are responsible for:

  • Setting appropriate pricing for your classrooms
  • Creating and managing assignments and content
  • Moderating student interactions within your classrooms
  • Ensuring your classroom content complies with our content guidelines

4.3 Professional Conduct

You agree to maintain professional standards and not engage in any conduct that could harm the reputation of Zenshin Japanese or create a negative experience for students.

5. Content Guidelines

All content you create as a Teacher must comply with our content moderation policies. Specifically, you agree not to create content that:

  • Contains hate speech, discriminatory language, or promotes violence
  • Is sexually explicit, pornographic, or inappropriate for an educational setting
  • Violates intellectual property rights or contains plagiarized material
  • Contains spam, scams, or misleading information
  • Promotes illegal activities
  • Violates any applicable laws or regulations

We reserve the right to remove any content that violates these guidelines and may suspend or terminate your Teacher account for repeated violations.

6. Intellectual Property

6.1 Your Content

You retain ownership of the original content you create for your classrooms. However, Zenshin Japanese only holds the right to content and interaction that is created through the Platform. Specifically:

  • Live lessons or lessons manually created by the Teacher will not be used for promotional material or be used as public material
  • Only content created through the Platform's tools and features may be used by Zenshin Japanese for Platform operations and improvements
  • We may create backups of Platform-created content to ensure availability

Content Originality: Copying other Teachers' work is not allowed. While similar lessons or methods are allowed, we expect a fair difference between assignments. If Teachers copy other Teachers' work and it can clearly be proven, the violating Teacher will receive a warning and be banned at the third warning. Based on the severity of the violation, Zenshin Japanese reserves the right to also ban sooner.

If you notice similarities between your content and another Teacher's content, please contact us immediately. We take intellectual property seriously and will investigate all claims.

6.2 Platform Content

The Platform, including its design, features, and underlying technology, remains the property of Zenshin Japanese. You may not copy, modify, or create derivative works of the Platform without explicit written permission.

7. Data Protection and Privacy

Zenshin Japanese is responsible for the security of student data on the Platform. However, as a Teacher, you will have access to certain student data, including:

  • Student progress and performance data
  • Assignment submissions and answers
  • Student names and email addresses (if they opt-in to share)

Important: It is not allowed for Teachers to share, sell, or disclose any student data. Student data may only be accessed and used for:

  • Gaining insight into how to improve the student's performance
  • Tracking student progress within your classrooms
  • Providing personalized feedback and support

Violation of this policy may result in fines and immediate termination of your Teacher account. You must comply with all applicable data protection laws, including GDPR if applicable. You agree to implement appropriate security measures to protect student data and delete student data when no longer needed for educational purposes.

8. Termination

8.1 Termination by You

You may terminate your Teacher account at any time by contacting us. Upon termination:

  • You will receive any outstanding payments owed to you
  • Your classrooms will be deactivated, but students will retain access to completed assignments
  • Your content will be removed from the Platform (subject to backup retention policies)

8.2 Termination by Us

We reserve the right to suspend or terminate your Teacher account immediately if:

  • You violate these Teacher Terms or our general Terms of Service
  • You fail to maintain valid Chamber of Commerce registration
  • You engage in fraudulent or illegal activities
  • You create content that violates our guidelines
  • You fail to meet professional standards or student expectations

8.3 Effect of Termination

Upon termination, your right to receive payments will cease, except for payments already earned and pending. We may withhold payments if termination is due to violation of these terms.

9. Limitation of Liability

To the maximum extent permitted by law, Zenshin Japanese shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Platform as a Teacher.

10. Changes to Terms

We reserve the right to modify these Teacher Terms at any time. If we make material changes, we will notify you via email or through the Platform. Continued use of the Platform as a Teacher after such changes constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must terminate your Teacher account.

11. Governing Law

These Teacher Terms shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of The Netherlands.
